1. General

1.1 “You” and “your” refers to the client or purchasing organisation. “We”, “us” and “our” refers to Precision Pumping & Metering Limited.

1.2 All quotations, sales, supply of equipment, hire of equipment, and delivery of services are subject to these Terms and Conditions. Placing an order with us constitutes acceptance of these terms.

1.3 No variation to these Terms and Conditions shall apply unless agreed in writing by an authorised representative of Precision Pumping & Metering Limited.

2. Quotation & Orders

2.1 All quotations are provided in good faith based on information supplied at the time of enquiry. Prices may be subject to change if project scope, specifications, or material requirements are subsequently altered.

2.2 Quotations remain valid for 30 days unless stated otherwise.

2.3 An order is considered accepted once we issue written confirmation or begin preparing equipment or services for delivery.

2.4 It is your responsibility to ensure all technical requirements, specifications, and operating conditions provided to us are accurate.

3. Pricing & Payment

3.1 All prices are exclusive of VAT unless otherwise stated.

3.2 Invoices are payable within 30 days from the invoice date unless agreed in writing.

3.3 We reserve the right to suspend ongoing work, equipment preparation, or dispatch of goods in the event of overdue payment.

3.4 Interest may be charged on overdue invoices at the prevailing statutory rate until payment is received in full.

3.5 We reserve the right to pass on in full any changes in VAT or other government-imposed charges.

4. Delivery, Lead Times and Performance

4.1 Lead times provided at quotation stage are estimates and may vary due to material availability, supplier performance, engineering variations, or site-specific constraints.

4.2 We will make every reasonable effort to meet agreed timescales, although delays outside our control do not constitute a breach of contract.

4.3 Risk passes to you upon delivery or collection of goods. Title remains with us until full payment has been received.

4.4 You are responsible for ensuring suitable offloading facilities and safe access at the delivery location.

5. Equipment Specification and Custom-Built Systems

5.1 Many PPM products, skids, and systems are built or configured to order. Drawings, datasheets, and technical specifications will be provided for approval.

5.2 It is your responsibility to review and confirm that all specifications meet your operational requirements and site conditions.

5.3 Changes requested after approval may incur additional engineering or material charges and may affect lead times.

6. Warranty and Aftercare

6.1 Standard warranty terms apply as detailed in the relevant product documentation or quotation.

6.2 Warranty does not cover damage caused by improper installation, misuse, incorrect storage, chemical incompatibility, incorrect operating conditions, or modifications carried out without our approval.

6.3 Where site assistance is required to diagnose or repair equipment, associated costs may apply unless otherwise specified in writing.

7. Cancellation and Postponement

7.1 Orders for made-to-order or customised systems cannot be cancelled once engineering work has commenced, unless agreed by us. Any costs incurred up to that point will be charged in full.

7.2 Orders for standard equipment may be subject to restocking fees.

7.3 If you request to postpone delivery, storage or holding charges may apply.

8. Liability

8.1 We will not be liable for any consequential, indirect, or economic loss including loss of production, loss of profit, or downtime arising from the supply, installation, operation, or failure of equipment.

8.2 Our total liability in any circumstance shall not exceed the value of the contract or order in question.

8.3 Nothing in these terms limits liability for death or personal injury caused by negligence.

9. Force Majeure

9.1 We will not be held responsible for delays or failure to perform obligations due to events outside our reasonable control. These include but are not limited to supplier delays, transport disruption, extreme weather, industrial action, or acts of God.

10. Governing Law

10.1 These Terms and Conditions are governed by the laws of Scotland.

10.2 Any disputes arising from the supply of goods or services shall be subject to the exclusive jurisdiction of the Scottish courts.
